1. Acceptance of these terms
By creating an account, connecting an integration, or otherwise using Omnivoy ("the Service", "we", "us"), you agree to these Terms of Service on behalf of yourself and, if applicable, the organization you represent. If you don't agree, please don't use the Service.
2. What Omnivoy is
Omnivoy is a multi-tenant SaaS platform providing release management, cloud & AI cost governance (FinOps), workforce operations (HRMS), and engineering visibility tools, along with an AI-assisted copilot layered on top of them. Each customer organization ("tenant") operates in its own isolated workspace.
3. Accounts & eligibility
You need a valid account, provisioned by your organization's administrator or via single sign-on (Google or Microsoft), to use the Service. You're responsible for maintaining the confidentiality of your credentials and for all activity under your account. Tell us immediately at support@omnivoy.in if you suspect unauthorized access.
4. Acceptable use
You agree not to:
- Use the Service to violate any law, or to infringe on the rights of others
- Attempt to access another tenant's data, or bypass tenant isolation, access controls, or rate limits
- Reverse-engineer, decompile, or attempt to extract the Service's source code, except where applicable law expressly permits it
- Use the Service to build a directly competing product
- Introduce malware, or interfere with the Service's availability or integrity for other tenants
5. Your data & connected integrations
You retain ownership of the data you put into Omnivoy, and of the data accessible through integrations you choose to connect (e.g. GitHub, Jira, Slack, AWS, Azure, GCP, Google Workspace, Microsoft 365). We access that data only as needed to provide the features you've enabled — see our Privacy Policy for details. You're responsible for having the right to connect any third-party account or data source you link to Omnivoy.
6. Fees & payment
Paid modules are billed per user, monthly or annually, at the rates shown on our pricing page or in your order form, whichever governs. Fees are non-refundable except where required by law or explicitly agreed in writing. We'll give you reasonable notice before any price change takes effect for your renewal.
7. Intellectual property
Omnivoy and its original content, features, and functionality are owned by Omnivoy Innovations and are protected by applicable intellectual property laws. These Terms don't grant you any rights to our trademarks or branding beyond what's needed to use the Service as intended.
8. Confidentiality
Each party agrees to protect the other's confidential information with the same care it uses for its own confidential information of a similar nature, and not to disclose it except to employees, contractors, or subprocessors who need it to perform under these Terms.
9. Disclaimers & limitation of liability
The Service is provided "as is." To the maximum extent permitted by law, Omnivoy disclaims all warranties, express or implied, and will not be liable for indirect, incidental, or consequential damages arising from your use of the Service. Nothing here limits liability where the law doesn't allow it to be limited.
10. Term & termination
These Terms remain in effect while you use the Service. You may stop using the Service, or an administrator may deactivate the tenant, at any time. We may suspend or terminate access for material breach of these Terms, including a security or acceptable-use violation, with notice where practical.
11. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles, unless a signed agreement between you and Omnivoy specifies otherwise.
12. Changes to these terms
We may update these Terms from time to time. We'll update the "Last updated" date above, and for material changes, we'll make a reasonable effort to notify active customers directly.
